ELIGIBILITY: The Sweepstakes is open only to residents of the 50 United States of America or the District of Columbia who are 18 years of age or older as of their time of entry. Employees of Sponsor and Pottery Barn Kids and Pottery Barn Teen, their parent company, subsidiaries, and each of the foregoing entities' affiliates, authorized designees and other related entities (including licensees of each brand), and any other individual or entity associated with the development, judging or administration of the Sweepstakes (collectively, the "Sweepstakes Entities"), as well as members of such employees' immediate families (spouses, children, siblings, parents), and persons living in the same household as such persons, whether or not related, are not eligible to participate in the Sweepstakes.

SPONSOR AND ADMINISTRATOR: The Sponsor and Administrator of the Sweepstakes is Sugartown Worldwide LLC, d/b/a Lilly Pulitzer (“Administrator or Lilly Pulitzer”), 800 Third Ave, King of Prussia, PA 19406. Facebook®, Instagram®, Snapchat® and Twitter® are not affiliated with this promotion. Williams-Sonoma, Inc., on behalf of its Pottery Barn Kids and Pottery Barn Teen brands (“Pottery Barn Kids and Pottery Barn Teen”), is a Prize Provider of the Sweepstakes.

PROMOTIONAL PERIOD: The Sweepstakes begins at 7:00:00 PM EST on February 17, 2022 and ends at 11:59:59 PM EST on February 25, 2022 ("Promotion Period").

HOW TO ENTER: To enter, during the Promotional Period, entrants are asked to do the following: (1) follow all 3 brands Lilly Pulitzer @lillypulitzer, Pottery Barn Kids @potterybarnkids and Pottery Barn Teen @potterybarnteen; and (2) tag two friends in the comment section of each brand’s site. Entries must be received before the end of the Promotional Period. Administrator will randomly select one (1) winner and the two (2) tagged Instagram account holder friends for a total of three (3) winners from the valid entrants at the end of the Promotional Period. Only the entrant who does the tagging will be entered to win the prize.

PRIZES: Each winner will receive the following prizes:

1. $500 Lilly Pulitzer shopping spree on Lilly Pulitzer’s website;

2. $500 Pottery Barn Kids gift card; and

3. $500 Pottery Barn Teen gift card.

Each prize value is $1500.00

Total value of the Prizes is $4500.00.

Gift cards are subject to terms and conditions issued by the applicable Prize Provider; see gift card or digital code notification for details. Prizes will be delivered by email and to an address in the United States.

ODDS: Odds of winning depend on the number of correct entries received.

WINNER SELECTION:The winners will be determined by random selection conducted by Administrator from among all eligible entries on or around March 5, 2022. All results of the selection are final and binding, subject to these Official Rules.

NOTICE TO WINNER: Potential winners will be notified by Direct Message via Instagram and then emailed and will be required to complete and sign an Affidavit of Eligibility and Liability Release (collectively, the “Required Documentation”). If a potential winner cannot be contacted using the information provided or fails to respond to Administrator’s attempt to notify them of selection within three calendar (3) days; if any notification is returned as undeliverable or yields an error of undeliverable type “bounce back” email (regardless if the message is ultimately delivered to the recipient); if Administrator is unable to verify potential winner’s eligibility; if potential winner fails to sign and return the Required Documentation within the required time period or fails to comply with these Official Rules; if any prize is returned undeliverable; if a potential winner is unable or unwilling to accept the prize as stated; or if the potential winner cannot be verified as eligible for any other reason, the potential winner is disqualified and an alternate winner will be selected by random drawing from among the eligible entries. In the event that a potential winner is disqualified for any reason, the next received and eligible entry received by Administrator that is fully compliant with these Official Rules shall be deemed the winner, until the prize is awarded or until four (4) attempts have been made to award the prize and each attempt has failed. Administrator will identify each potential winner and verify the potential winner’s eligibility after the end of the Promotional Period. If unable to verify eligibility, Administrator will select an alternate potential winner within a reasonable time thereafter.

RESPONSBILITY OF WINNER:Winners may receive an IRS form 1099 at the end of the calendar year, a copy of which form will also be filed with the Internal Revenue Service. THE WINNERS ARE RESPONSIBLE FOR REPORTING AND PAYING ANY AND ALL INCOME, SALES OR EXCISE TAXES THAT MAY APPLY TO ACCEPTING PRIZES; SPONSOR IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES.

PRIZE RESTRICTIONS: Prizes cannot be redeemed for cash or substituted for any other items by the winner(s). The winner(s) cannot assign or transfer prize. Sponsor reserves the right to substitute a comparable prize of like or greater value, including cash, for any prize, for any reason. Only one prize will be awarded per household. Individuals are eligible to win only one prize in a promotion sponsored by Lilly Pulitzer within any 12-month period, regardless of the number of promotions or giveaways entered.

RELEASE AND PUBLICITY: By entering, entrants represent that they are eligible, and agree (a) to be bound by these rules and the decisions of the judges, (b) to release Sponsor and Pottery Barn Kids and Pottery Barn Teen, their parent, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, losses, or damages of any kind caused by any prize or resulting from acceptance, possession, use, or misuse of any prize, and (c) to Sponsor’s use of entrants’ personal information as described in the Privacy Policy located at www.lillypulitzer.com. Except where prohibited by law, entry constitutes permission to use entrants’ names and photograph, likeness, voices, biographical information, statements and address for advertising or publicity purposes including all social media posting, and/or any in any other media now known or hereafter developed, in perpetuity, without compensation. Entrants agree that Sponsor may share personal information with Pottery Barn Kids and Pottery Barn Teen for solicitation, marketing, or other business or promotional purposes as permitted by its privacy policy located at www.potterybarnkids.com, and www.potterybarnteen.com.

GENERAL CONDITIONS AND LIMITATION OF LIABILITY: Sponsor is not responsible for error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or technical, network, telephone equipment, electronic, computer, hardware, or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry, winner(s) or other giveaway information by Sponsor or entrants for any reason whatsoever. Sponsor is also not responsible for any injury or damage to any entrant’s or any other person’s computer related to or resulting from playing or downloading any materials in the promotion or for entries that are late, misdirected or incomplete. All entry materials may be maintained as part of Sponsor promotional records. All entrants acknowledge that they own all of the intellectual property rights in all photographs posted to Sponsor’s site and will not post any photographs to such sites to which they do not have the rights of ownership and will indemnify Sponsor for any intellectual property infringement.

SWEEPSTAKES ENTITIES SHALL NOT BE RESPONSIBLE OR LIABLE FOR ENTRIES THAT ARE ENTERED BY OTHER THAN HUMAN MEANS (SUCH AS BY AN AUTOMATED COMPUTER PROGRAM OR ANY NON-HUMAN MECHANISM, ENTITY, OR DEVICE), IN EXCESS OF THE STATED LIMIT, OR FOR ENTRIES THAT ARE LATE, FORGED, DESTROYED, LOST, MISPLACED, STOLEN, MISDIRECTED, TAMPERED WITH, INCOMPLETE, DELETED, DAMAGED, GARBLED, OR OTHERWISE NOT IN COMPLIANCE WITH THESE OFFICIAL RULES, AND ALL SUCH ENTRIES WILL BE DISQUALIFIED. BY ENTERING THE SWEEPSTAKES, EACH ENTRANT AGREES: (A) TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL APPLICABLE LAWS AND ALL DECISIONS OF SPONSOR WHICH SHALL BE BINDING AND FINAL; (B) TO WAIVE ANY RIGHTS TO CLAIM AMBIGUITY WITH RESPECT TO THE OFFICIAL RULES; (C) TO WAIVE ALL OF HIS OR HER RIGHTS TO BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST ANY OF THE SWEEPSTAKES ENTITIES; AND (D) TO RELEASE, INDEMNIFY, AND HOLD HARMLESS EACH OF THE SWEEPSTAKES ENTITIES AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES, FROM ANY LIABILITY (INCLUDING, WITHOUT LIMITATION, LIABILITY FOR ANY PROPERTY LOSS, DAMAGE, PERSONAL INJURY, BODILY INJURY, DEATH, LOSS, EXPENSE, ACCIDENT, DELAY, INCONVENIENCE OR IRREGULARITY), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE OUTSIDE ATTORNEY'S FEES) THAT MAY ARISE IN CONNECTION WITH: (I) THE ENTRANT'S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE SWEEPSTAKES, (II) TYPOGRAPHICAL ERRORS IN THE OFFICIAL RULES OR ANY SWEEPSTAKES PROMOTIONAL MATERIALS, (III) ACCEPTANCE OR POSSESSION, DEFECTS IN, USE, MISUSE OR INABILITY TO USE ANY PRIZE (OR ANY COMPONENT THEREOF), (IV) ANY CHANGE BY ANY COMPANY OR ANY OTHER PERSON PROVIDING ANY OF THE COMPONENTS OF A PRIZE DUE TO REASONS BEYOND ANY OF THE SWEEPSTAKES ENTITIES' CONTROL OR AS OTHERWISE PERMITTED HEREUNDER, (V) ANY INTERRUPTIONS IN OR POSTPONEMENT, CANCELLATION, OR MODIFICATION OF THE SWEEPSTAKES, (VI) HUMAN ERROR, (VII) INCORRECT OR INACCURATE TRANSCRIPTION, RECEIPT OR TRANSMISSION OF ANY PART OF THE ENTRY (INCLUDING, WITHOUT LIMITATION, THE ENTRY INFORMATION OR ANY PARTS THEREOF), (VIII) ANY TECHNICAL MALFUNCTIONS OR UNAVAILABILITY OF ANY WEBSITE OR ANY TELEPHONE NETWORK, COMPUTER ONLINE SYSTEM, COMPUTER DATING MECHANISM, COMPUTER EQUIPMENT, SOFTWARE, OR INTERNET SERVICE PROVIDER UTILIZED BY ANY OF THE SWEEPSTAKES ENTITIES OR BY AN ENTRANT, (IX) INTERRUPTION OR INABILITY TO ACCESS THE SWEEPSTAKES, ANY SWEEPSTAKES-RELATED WEB PAGES, OR ANY ONLINE SERVICE VIA THE INTERNET DUE TO HARDWARE OR SOFTWARE COMPATIBILITY PROBLEMS, (X) ANY DAMAGE TO ENTRANT'S (OR ANY THIRD PERSON'S) COMPUTER OR ITS CONTENTS RELATED TO OR RESULTING FROM ANY PART OF THE SWEEPSTAKES, (XI) ANY LOST OR DELAYED DATA TRANSMISSIONS, OMISSIONS, INTERRUPTIONS, DEFECTS, OR ANY OTHER ERRORS OR MALFUNCTIONS, (XII) ANY WRONGFUL, NEGLIGENT, OR UNAUTHORIZED ACT OR OMISSIONS ON THE PART OF ANY OF THE SWEEPSTAKES ENTITIES, OR ANY OF THEIR AGENTS OR EMPLOYEES, OR (XIII) ANY OTHER CAUSE, CONDITION OR EVENT WHATSOEVER BEYOND THE CONTROL OF ANY ONE OR MORE OF THE SWEEPSTAKES ENTITIES. EACH WINNER HEREBY ACKNOWLEDGES THAT THE SWEEPSTAKES ENTITIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE OR COMPONENT THEREOF, INCLUDING ANY EXPRESS OR IMPLIED WARRANTIES PROVIDED BY ANY OF THE PRIZE PROVIDERS ASSOCIATED WITH THIS SWEEPSTAKES. Sponsor reserves the right to suspend or cancel the Sweepstakes or modify these Official Rules as necessary for any reason or as required by applicable law. Sponsor reserves the right, in its sole discretion, to disqualify from the Sweepstakes, and ban from any future promotions, any person it believes to have intentionally violated these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or to have tampered with any element of the Sweepstakes without notice to the disqualified or banned person.

DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Pennsylvania (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Pennsylvania, without giving effect to any choice of law or conflict of law rules (whether of the State of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Pennsylvania.
